Alcohol Delivery Policy

OrderGrabGo is committed to responsibly delivering alcohol in compliance with all federal, state, and local laws. We have obtained all necessary permits and licenses required to facilitate alcohol delivery in the regions we serve. This policy outlines our procedures to ensure legal compliance, customer safety, and responsible service.

1. Order Placement and Age Verification

• Customers must be at least 21 years old to order alcohol through our platform.
• A valid government-issued photo ID must be presented upon delivery to verify age.
• Orders exceeding state-specific quantity limits may be rejected or adjusted to comply with local regulations.

2. Delivery Personnel Requirements

• All delivery drivers handling alcohol orders must be at least 21 years old.
• Drivers undergo training on responsible alcohol delivery and compliance with state laws.
• ID verification is required at the time of delivery to confirm the recipient is of legal drinking age.

3. Delivery Protocols

• Alcohol must be delivered directly to the customer; orders cannot be left unattended.
• Deliveries will not be made to restricted locations, including:
  • Schools and university campuses.
  • Public parks and government buildings.
  • Any area where alcohol possession is prohibited by law.
• Alcohol delivery is only available during the legally permitted hours in each state.

4. Compliance with State and Local Laws

• Licensing & Permits: We hold all necessary permits to facilitate alcohol delivery in the states where we operate.
• Shipping Restrictions: Some states prohibit the direct shipment of alcohol. Currently, Delaware, Mississippi, Rhode Island, and Utah have restrictions on alcohol shipments.
• Tax Collection: All required state and local taxes on alcohol sales will be collected and remitted in accordance with the law.

5. Safety and Legal Considerations

• No Delivery to Intoxicated Persons: If a recipient appears visibly intoxicated, the driver reserves the right to refuse delivery and the order may be refunded minus applicable fees.
• Record Keeping: We maintain compliance records for all alcohol deliveries in line with regulatory requirements.
• Third-Party Delivery Compliance: If using third-party delivery services, we ensure that all partners adhere to our strict legal and responsible service policies.

6. Customer Responsibilities

• Customers must provide a valid delivery address where alcohol delivery is legally permitted.
• Customers must be present at the time of delivery to provide ID verification.
• Failure to comply with these requirements may result in the cancellation of the order without a refund.

Appendix 1: Merchant Agreement

OrderGrabGo Merchant Participation & Platform Agreement

This Merchant Participation Agreement (the “Agreement”) is entered into by and between OrderGrabGo LLC, a Mississippi limited liability company (“OGG,” “we,” “our,” or “us”), and the undersigned merchant (“Merchant,” “you,” or “your”) as of the Effective Date stated below.

1. Purpose

This Agreement outlines the terms and conditions under which Merchant will participate in the OrderGrabGo platform, listing and selling goods or services to customers via OGG’s digital marketplace, app, and promotional network.

2. Merchant Services

OGG shall provide the following services:

• Platform access and merchant dashboard
• Product listing and store management tools
• Local promotion via push notifications, email blasts, and app banners
• Order processing, customer communication support, and payment settlement
• Optional setup and advertisement packages

Merchant shall:

• Upload accurate product/service information
• Maintain operational store hours and response time
• Fulfill and package orders in a timely and professional manner
• Comply with OGG’s operational guidelines

3. Setup Fees & Packages

OGG offers optional setup and marketing packages:

Custom packages may be negotiated on a case-by-case basis.

4. Commission and Payment Terms

• OGG will retain a transaction fee of

• Payouts to merchants will be processed weekly, based on cleared orders.
• Payment disputes must be raised within 7 business days of payout.
• Payment method (ACH, direct deposit, or other) will be confirmed upon onboarding.

5. Order Cancellations & Disputes

• Merchant is responsible for confirming stock and order readiness.
• Cancellations by Merchant due to lack of product may result in reduced ranking or penalties after three (3) verified cases in one month.
• OGG will mediate disputes but reserves final judgment on refund determinations.

6. Term, Termination & Suspension

• This Agreement is month-to-month and renews automatically unless terminated.
• Either party may terminate the agreement with 15 days’ written notice.
• OGG may suspend the Merchant account without notice for any violations, including but not limited to fraud, repeated customer complaints, or breach of agreement.

7. Intellectual Property

• Merchant retains ownership of its brand, logo, and proprietary information.
• OGG retains ownership of the platform, app interface, and proprietary technologies.
• Merchant grants OGG a non-exclusive license to display Merchant’s content on all OGG channels during the term of the agreement.

8. Confidentiality

• Both parties agree not to disclose proprietary or confidential information related to the other party.
• This section shall survive termination of this Agreement for a period of two (2) years.

9. Limitation of Liability

• OGG is not liable for any indirect, incidental, or consequential damages.
• Maximum liability shall not exceed the total commission fees collected by OGG from the Merchant in the three (3) months preceding the incident.

10. Indemnification

Merchant agrees to indemnify and hold harmless OGG, its officers, employees, and partners against any losses or claims arising out of:

• The Merchant’s breach of this Agreement
• The Merchant’s content or products
• Regulatory or legal violations by the Merchant

Addendum: Alcohol Sales & Delivery Requirements

This section applies to Merchants selling alcoholic beverages on the OrderGrabGo platform.

A. Licensing & Legal Compliance

• Merchant affirms it possesses all required federal, state, and local licenses/permits to sell alcoholic beverages.
• Merchant agrees to immediately notify OGG of any changes to licensing status.
• Merchant is solely responsible for compliance with all age-restriction laws and state/local alcohol sales regulations.

B. Product Listings

• Merchant must clearly list:
  • ABV (Alcohol By Volume)
  • Size and description
  • Legal disclaimers as required by the local jurisdiction
• Alcoholic items must be tagged with “21+ Alcohol Delivery” within the platform.

C. Fulfillment & ID Verification

• Alcohol orders must be properly packaged in accordance with local laws.
• Merchant agrees that only approved, trained drivers will be assigned to deliver alcohol.
• Upon delivery, drivers must:
  • Verify the customer is 21 years of age or older
  • Request a valid government-issued photo ID
  • Refuse delivery if the recipient is visibly intoxicated, underage, or fails to provide ID

D. Liability & Indemnification

• Merchant assumes full liability for the sale and packaging of alcohol.
• OGG is not liable for any legal claims, fines, or actions resulting from improper alcohol sales or deliveries.
• Merchant agrees to indemnify and hold harmless OGG for any breach of applicable alcohol laws by the Merchant or its staff.

Appendix 2: Driver Agreement

OrderGrabGo Independent Contractor Delivery Driver Agreement

This Independent Contractor Agreement ("Agreement") is made effective as of the date signed below between OrderGrabGo LLC ("OGG"), a Mississippi limited liability company, and the undersigned individual (“Driver,” “you,” or “your”).

1. Role

You agree to operate as an independent contractor and not an employee of OrderGrabGo. Your role is to deliver food, parcels, or goods from merchants to customers using your own vehicle and equipment.

2. Contractor Status

• You acknowledge you are not an employee of OrderGrabGo.
• You have control over your work schedule, methods, and tools used for delivery.
• You are responsible for all taxes, insurance, and vehicle maintenance.

3. Eligibility Requirements

To be eligible for deliveries, you must:

• Be at least 18 years old (21+ for alcohol delivery)
• Hold a valid driver’s license
• Have proof of auto insurance and a registered vehicle
• Pass a basic background screening
• Have a smartphone compatible with the Driver App

4. Payment Terms

• You will earn a per-delivery fee, ranging from $3.50 to $10.00 based on distance, time, and order size.
• Additional bonuses and incentives may apply for:
  • Weekly delivery volume
  • Holiday or surge deliveries
  • Customer tips (100% passed through to Driver)
• Payouts are issued weekly via direct deposit or other methods selected by OGG.
• You are responsible for tracking your income for tax purposes.

5. Driver Responsibilities

You agree to:

• Accept or decline orders through the app
• Pick up and deliver orders promptly
• Maintain courteous communication with customers and merchants
• Handle all items with care and follow food safety best practices
• Follow all traffic and parking laws
• Report any delays, issues, or customer concerns

6. Alcohol Delivery

If approved for alcohol delivery, you agree to:

• Verify the customer is 21+
• Request and inspect a valid government-issued photo ID
• Refuse delivery if the recipient is intoxicated, underage, or unable to show ID
• Comply with local/state alcohol laws

7. Equipment & Costs

• Driver must use their own insured vehicle.
• Driver is responsible for fuel, mobile data, insurance, and other related expenses.
• OrderGrabGo may provide branded bags, t-shirts, or promotional items for visibility but use is optional.

8. Term & Termination

• This Agreement is at-will and may be terminated by either party with or without cause at any time.
• Violations of the terms (including customer complaints, illegal activity, or alcohol violations) may result in immediate deactivation.

9. Confidentiality & Conduct

• You agree to keep all customer and company information confidential.
• You agree not to harass, threaten, or engage in any unprofessional behavior with customers, merchants, or other drivers.
• Any misconduct or illegal behavior may lead to termination and legal consequences.

10. Indemnification

Driver agrees to indemnify and hold harmless OrderGrabGo for any claims, liabilities, damages, or expenses arising from:

• Traffic accidents
• Alcohol delivery violations
• Personal injury or property damage
• Failure to pay taxes or maintain insurance
